Cíle předmětu
The course Corporate Law is a follow-up to the courses Private Law 1 and Private Law 2. In terms of the corporate law, the attention is paid to personal service companies (partnership, limited partnership) and corporate enterprises (limited liability company, joint-stock company), a cooperative and, furthermore, corporate enterprises originating in the EU law (European Economic Interest Grouping, European company, European Cooperative Society). The securities law is also introduced to students to the extent necessary for understanding lectures on the corporate law.

  • 1. Acts of an entrepreneur. Definition of the terms: an entrepreneur, corporate domicile, act on behalf of an entrepreneur, power of attorney, competition ban, trade register, company.
  • 2. A sole trader. Basics of sole proprietorship. Sole proprietorship. The trade register.
  • 3. Introduction to corporate law. Definition of basic terms (legal entities, corporations, endowed institutions, institutes). Establishing a business corporation.
  • 4. A contribution. Contribution administration, basic capital, share, winding-up and dissolution of a corporate enterprise, liquidation.
  • 5. Partnership, unlimited partnership, limited partnership.
  • 6. Corporate enterprises. A limited liability company (establishment of a company, rights and duties of partners, extinction of a partner´s participation in a company).
  • 7. Corporate enterprises. A limited liability company (bodies of a corporation, transfer of shares, dissolution of a company).
  • 8. Securities law. Shares, interim certificates, obligations, share warrants.
  • 9. Corporate enterprises. A joint-stock company (establishment of the company, legal and property characteristics, basic terms and institutes of legal regulation, rights and obligations of shareholders).
  • 10. Corporate enterprises. A joint-stock company (structure of bodies, winding-up and dissolution).
  • 11. A cooperative. Legal and property characteristics, basic terms and institutes of legal regulation, rights and duties of members, membership.
  • 12. A cooperative. Bodies of a cooperative, a housing cooperative, a social cooperative.
  • 13. Protection of industrial property rights.
