Course objectives
Course objectives: Law of business corporations follows the Private Law 1 and Private Law 2. This course deals primarily with business corporations and marginally securities law. Students will be able to explain and understand the basic concepts as an entrepreneur, power of attorney, business register, corporation, foundation, institute legal entity etc. The main content of the course is to acquaint students with the business companies (public company, limited partnership, limited liability company, joint stock company), co-operatives and European trading companies. Students will learn what are the differences between personal and capital companies, how to start a business corporation, what are the deposits and capital for individual companies. They will have an overview of the rights and responsibilities of partners and bodies in individual corporations. Annotation: The content of the course involves the issue of business corporations enshrined in Act no. 90/2012 Coll., On commercial companies and cooperatives (Act on Business Corporations). In this course will be discussed also securities law. Within law of business corporations, attention is focused on the personal companies (public company limited partnership) and capital (limited liability company, joint-stock company), cooperative and on business corporations originating in EU law (European Economic Interest Grouping, European company, European Cooperative Society). A basic explanation is also given to securities law - to the extent necessary to teach law corporations.

    1. Jednání podnikatele
    Vymezení pojmů podnikatel, sídlo podnikatele, zastoupení podnikatele, prokura, zákaz konkurence, obchodní rejstřík, obchodní firma
    2. Úvod do korporačního práva
    Vymezení základních pojmů (právnické osoby, korporace, fundace, ústavy), založení obchodní korporace
    3. Vklad, správa vkladu, základní kapitál, podíl, zrušení a zánik obchodní korporace, likvidace
    4. Osobní společnosti
    Veřejná obchodní společnost, komanditní společnost
    5. Kapitálové společnosti
    Společnost s ručením omezením (vznik společnosti, práva a povinnosti společníků, zánik účasti společníka ve společnosti)
    6. Kapitálové společnosti
    Společnost s ručením omezeným (orgány korporace, převod podílu, zrušení společnosti)
    7. Právo cenných papírů
    Akcie, zatímní listy, dluhopisy, opční listy
    8. Kapitálové společnosti
    Akciová společnost (vznik, právní a majetková charakteristika, základní pojmy a instituty právní úpravy, práva a povinnosti akcionářů)

Exam:
Condition for admission to the examination will be a successful passing of a written test, which will consist of 10 questions - eight questions (1 point each) with a choice of options (ABCD), where is always only one correct answer, and two open questions evaluated by 2 points. Students can receive for the test a maximum of 12 points. To be successful, it is necessary to earn 8 points.
The exam is oral. Students should demonstrate an appropriate level of knowledge of subject matter according to the topics covered in the lectures. Attendance and active participation in lectures can also be taken into account in the overall assessment of students.
Conditions for students with individual study plan:
The same as for other forms of study.
